These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," "User," or "Subscriber") and Thrive EBS ("Thrive," "we," "us," or "our"), a company located at 1001 New Street, NW, Cheyenne, Wyoming 82001, governing your access to and use of the website located at explorethrive.com and all associated services, features, content, and applications (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you must not access or use the Platform.

1. Acceptance of Terms

1.1. By accessing or using the Platform in any manner, including but not limited to browsing, registering for an account, subscribing to a plan, purchasing services, submitting content, or participating in the Partner Program, you agree to be bound by these Terms, all applicable laws and regulations, and any additional terms referenced herein.

1.2. These Terms apply to all Users of the Platform, including, without limitation, Free Tier users, paid Subscribers, Partners (as defined in Section 9), Affiliates, and visitors.

1.3. We may update these Terms from time to time in accordance with Section 19. Your continued use of the Platform after any such changes constitutes your acceptance of the revised Terms.

1.4. If you are entering into these Terms on behalf of a business, organization, or other legal entity, you represent and warrant that you have the authority to bind that entity to these Terms, in which case "you" and "your" shall refer to that entity.

2. Account Registration and Eligibility

2.1. Eligibility. To register for an account on the Platform, you must: (a) be at least eighteen (18) years of age; (b) be capable of forming a legally binding contract under applicable law; and (c) not be barred from using the Platform under the laws of the United States or any other applicable jurisdiction.

2.2. Account Registration. To access certain features of the Platform, you must create an account by providing accurate, current, and complete information as prompted by the registration process. You agree to update such information promptly to keep it accurate, current, and complete.

2.3. Account Security. You are solely responsible for maintaining the confidentiality of your account credentials, including your username and password. You agree to: (a) notify us immediately of any unauthorized use of your account or any other breach of security; and (b) ensure that you exit from your account at the end of each session. You are fully responsible for all activities that occur under your account, whether or not you have authorized such activities.

2.4. One Account Per Person. Each individual may maintain only one (1) account on the Platform. Creating multiple accounts to circumvent restrictions, manipulate the Thrive Points system, exploit referral programs, or for any other deceptive purpose is strictly prohibited and may result in immediate termination of all associated accounts.

2.5. Business Classification. The Platform is designed to serve 1099 independent contractors, micro-businesses, and small businesses. By subscribing to a paid tier, you represent that you fall within the applicable business classification for your selected subscription plan.

3. Subscription Plans and Billing

3.1. Subscription Tiers. The Platform offers the following subscription tiers:

  • Free Tier -- No cost, with limited access to Platform features as described in Section 4.
  • Micro Business Plan -- $17.99 per month, designed for micro-businesses and 1099 contractors.
  • Small Business Plan -- $20.99 per month, designed for small businesses requiring additional features and resources.
  • Other Tiers Not Yet Developed – The Platform may introduce additional tiers at any time it deems appropriate.

3.2. Annual Plans. Annual subscription plans may be available at discounted rates. Annual plans are billed as a single payment at the beginning of each billing cycle. Specific pricing for annual plans is displayed at the time of purchase on the Platform.

3.3. Billing and Payment. All payments are processed through our third-party payment processors, such as Sidglo, Stripe, and PayPal. By subscribing to a paid plan, you authorize Thrive and its payment processors to charge the payment method on file for all applicable fees, including recurring subscription fees, at the then-current rate.

3.4. Recurring Billing. Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually, as applicable) unless you cancel your subscription before the renewal date. You authorize us to charge the applicable subscription fee to your designated payment method on each renewal date.

3.5. Price Changes. Thrive reserves the right to modify subscription pricing at any time. For existing Subscribers, price changes will take effect at the start of the next billing cycle following reasonable notice (not less than thirty (30) days). Your continued use of the Platform after a price change takes effect constitutes your acceptance of the new pricing.

3.6. Taxes. All fees are exclusive of applicable taxes, levies, or duties imposed by taxing authorities. You are responsible for the payment of all such taxes, levies, or duties associated with your subscription, excluding taxes based on Thrive's net income.

3.7. Failed Payments. If a payment fails, we may attempt to process the charge again. If payment cannot be successfully processed after reasonable attempts, we reserve the right to suspend or downgrade your account until the outstanding balance is resolved.

4. Free Tier vs. Paid Tiers

4.1. Free Tier. The Free Tier provides limited access to the Platform, including restricted access to certain content, features, and tools. Free Tier users may not have access to Enhanced Business Services, premium Content Hub materials, or other features reserved for paid Subscribers.

4.2. Paid Tier Benefits. Paid Subscribers receive access to additional features based on their subscription level, which may include but are not limited to: full access to the Thrive Deals Marketplace, Enhanced Business Services (EBS), courses, lessons, and quizzes, gamification features, premium Content Hub resources, and the referral program.

4.3. Feature Availability. Thrive reserves the right to modify, add, or remove features from any subscription tier at any time. We will endeavor to provide reasonable notice of material changes to subscription tier features. The specific features available under each tier are described on the Platform and may change over time.

4.4. Upgrades and Downgrades. You may upgrade or downgrade your subscription tier at any time through your account settings. Upgrades take effect immediately, and you will be charged a prorated amount for the remainder of the current billing cycle. Downgrades take effect at the beginning of the next billing cycle, and no partial refunds will be issued for the remaining period of the higher-tier plan.

5. Cancellation and Refunds

5.1. Cancellation by Subscriber. You may cancel your paid subscription at any time through your account settings on the Platform or by contacting us at info@explorethrive.com. Cancellation will take effect at the end of the current billing cycle, and you will retain access to paid features until that date.

5.2. No Refunds. All subscription fees are non-refundable except as expressly set forth in these Terms or as required by applicable law. No refunds or credits will be issued for partial billing periods, unused features, or account downgrades.

5.3. Annual Plan Cancellation. If you cancel an annual plan, your access to paid features will continue through the end of the prepaid annual period. No prorated refunds will be provided for the unused portion of an annual subscription.

5.4. Cancellation by Thrive. Thrive reserves the right to cancel your subscription and terminate your account at any time for violation of these Terms, as further described in Section 18. In the event of Thrive's termination for cause, no refund of subscription fees will be issued.

5.5. Effect of Cancellation. Upon cancellation or expiration of a paid subscription: (a) your account will revert to the Free Tier, subject to Free Tier limitations; (b) you may lose access to features, content, and data associated with your paid subscription; and (c) accumulated Thrive Points may be subject to forfeiture as described in Section 6.

5.6. Cooling-Off Period. If required by applicable consumer protection law in your jurisdiction, you may be entitled to cancel your subscription within a specified period after purchase and receive a full refund. Such rights are in addition to, and not limited by, the provisions of this Section.

6. Thrive Points

6.1. Overview. Thrive Points are a virtual point system integrated into the Platform through GamiPress. Users may earn Thrive Points through various activities, including but not limited to completing courses, achieving milestones, engaging with content, making referrals, and participating in Platform activities.

6.2. No Monetary Value. Thrive Points have no cash value and are not redeemable for cash, currency, or any form of monetary compensation under any circumstances. Thrive Points are not property and do not constitute a stored-value account, digital currency, or financial instrument.

6.3. Use of Thrive Points. Thrive Points may be used solely within the Platform for purposes designated by Thrive, which may include but are not limited to: submitting premium content, unlocking certain features, or other in-Platform activities as determined by Thrive from time to time.

6.4. Forfeiture. Thrive Points may be forfeited in the following circumstances: (a) termination or cancellation of your account; (b) violation of these Terms; (c) inactivity for a period determined by Thrive at its discretion; (d) manipulation, abuse, or exploitation of the Thrive Points system; or (e) at Thrive's discretion upon reasonable notice.

6.5. No Transfer. Thrive Points are non-transferable between accounts, except through official Platform mechanisms (such as approved referral programs). Any attempt to sell, barter, trade, or transfer Thrive Points outside of the Platform is strictly prohibited.

6.6. Badges, Streaks, and Leaderboards. The Platform may offer badges, streaks, achievement milestones, and leaderboard rankings as part of its gamification features. These elements are provided for engagement and entertainment purposes only and confer no rights, privileges, or obligations beyond those expressly stated on the Platform.

6.7. Belt Levels. Content and progress on the Platform are organized into a system of Belt Levels (White through Master Black) across seven (7) Pillars. Advancement through Belt Levels is based on criteria established by Thrive and may be modified at any time. Belt Levels do not constitute certifications, professional designations, or credentials recognized outside the Platform.

6.8. Modification. Thrive reserves the right to modify, suspend, or discontinue the Thrive Points system, including the earning rates, redemption options, and forfeiture policies, at any time with or without notice.

7. Referral Program

7.1. Subscriber Referrals. Paid Subscribers may participate in the referral program by referring new users to the Platform. Referring Subscribers may earn Thrive Points for successful referrals, subject to the terms and conditions of the referral program as described on the Platform.

7.2. Eligibility. To qualify for referral rewards: (a) the referred individual must be a new user who has not previously held an account on the Platform; (b) the referred individual must complete registration and, where applicable, subscribe to a paid plan; and (c) the referring Subscriber's account must be in good standing at the time the referral reward is issued.

7.3. Abuse. Thrive reserves the right to withhold, revoke, or claw back referral rewards in cases of suspected abuse, fraud, or manipulation of the referral program, including but not limited to self-referrals, fake accounts, or incentivized referrals that violate these Terms.

8. Content Hub and Educational Resources

8.1. Content Hub. The Platform provides a Content Hub that includes blogs, videos, podcasts, webinars, and other educational materials organized across seven (7) Pillars and five (5) Belt Levels.

8.2. Courses. The Platform offers courses, lessons, and quizzes.  Access to specific courses may be restricted based on your subscription tier and Belt Level progression.

8.3. Informational Purposes Only. All content and educational materials provided through the Platform, including courses, articles, videos, podcasts, and webinars, are for informational and educational purposes only. Such content does not constitute professional, legal, financial, tax, or business advice. You should consult qualified professionals before making business decisions based on content accessed through the Platform.

8.4. Content Accuracy. While Thrive endeavors to provide accurate and up-to-date content, we make no representations or warranties regarding the accuracy, completeness, timeliness, or reliability of any content available on the Platform.

9. Partner Program Terms

9.1. Partner Roles. The Platform offers the following Partner roles, each subject to application and approval by Thrive:

  • SBRO (Small Business Resource Organization) -- Organizations that provide resources and support to startups, 1099 contractors, micro businesses, and small businesses that have less than 499 employees as defined by the Small Business Administration.
  • Vendor -- Businesses that offer products, services, or deals through the Platform. Businesses can be existing Thrive subscribers or 3rd parties that are not Thrive subscribers.
  • Small Business Ambassador -- Thought leaders, small business advisors, and consultants who provide business support services to Subscribers.

9.2. Application and Approval. Participation in any Partner role requires submission of an application and approval by Thrive in its sole discretion. Thrive reserves the right to accept or reject any Partner application for any reason or no reason. Approval of a Partner application does not create an employment, agency, joint venture, or franchise relationship between the Partner and Thrive.

9.3. Partner Status. Partners are independent entities and are not employees, agents, or representatives of Thrive. Partners are solely responsible for their own taxes, insurance, and compliance with applicable laws and regulations.

9.4. Content Submissions. Partners may submit deals, banners, Enhanced Business Services (EBS) listings, and other content to the Platform, subject to review and approval by Thrive administrators. Thrive reserves the right to reject, modify, or remove any Partner-submitted content at its sole discretion.

9.5. Thrive Points for Premium Submissions. Partners may be required to spend Thrive Points to submit premium content, featured listings, or other promoted materials on the Platform. The Thrive Points cost for such submissions is determined by Thrive and may change at any time.

9.6. SBRO or Ambassador Commissions. SBROs and Ambassadors are eligible to receive commissions based on an agreed percentage of the recurring subscription fees paid by Subscribers referred by the SBRO or Ambassador to the Platform ("SBRO or Ambassador Commissions"). SBRO or Ambassador Commissions are subject to the following terms:

(a) Commissions are calculated based on actual subscription fees collected from referred Subscribers, net of refunds, chargebacks, and taxes.

(b) Commission payments are made in accordance with the payment schedule and methods described in the Partner Program guidelines.

(c) Commissions are earned only for so long as the referred Subscriber maintains an active paid subscription and the SBRO or Ambassador's account remains in good standing.

(d) Thrive reserves the right to modify the commission rate, payment terms, or structure of the SBRO or Ambassador Commission program upon thirty (30) days' written notice.

(e) SBROs and Ambassadors are solely responsible for reporting and paying all taxes owed on commission income.

9.7. Partner Conduct. Partners shall: (a) comply with all applicable laws and regulations; (b) accurately represent their products, services, and relationship with Thrive; (c) not engage in misleading, deceptive, or unethical marketing practices; (d) not make any representations or warranties on behalf of Thrive; and (e) comply with all Partner Program guidelines as updated from time to time.

9.8. Termination of Partner Status. Thrive may revoke Partner status at any time, with or without cause, upon written notice. Upon termination of Partner status: (a) the Partner must immediately cease all use of Thrive branding and marketing materials; (b) pending commissions may be forfeited if termination is for cause; and (c) the Partner's account may be converted to a standard Subscriber account or terminated entirely.

10. Thrive Deals Marketplace

10.1. Overview. The Thrive Deals Marketplace provides paid Subscribers with access to over 500 deals offering discounts of up to 70-90% off products and services from third-party vendors.

10.2. Third-Party Deals. All deals available in the Thrive Deals Marketplace are provided by third-party vendors and Partners. Thrive acts solely as an intermediary platform facilitating access to such deals and is not the seller, manufacturer, or provider of the products or services offered.

10.3. No Warranty on Deals. Thrive makes no representations or warranties whatsoever regarding the quality, safety, legality, accuracy, or availability of any deal, product, or service listed in the Thrive Deals Marketplace. Any transaction you enter into with a third-party vendor through the Marketplace is solely between you and that vendor.

10.4. Deal Availability. Deals listed in the Marketplace are subject to change, expiration, or removal at any time without notice. Thrive does not guarantee the continued availability of any particular deal, discount level, or vendor offering.

10.5. Disputes with Vendors. Any disputes arising from or relating to deals obtained through the Thrive Deals Marketplace shall be resolved directly between you and the applicable third-party vendor. Thrive shall not be a party to, nor shall it be liable for, any claims, damages, or losses arising from such transactions.

11. Pay Zero

11.1. Separate Service. Pay Zero is a credit card processing service provided by Sidglo ("Sidglo"), a third-party service provider. Pay Zero is not a service provided by Thrive, and your use of Pay Zero is governed by Sidglo's own terms of service, privacy policy, and applicable agreements.

11.2. No Liability. Thrive is not responsible for, and makes no representations or warranties regarding, the Pay Zero service, including but not limited to its availability, reliability, fees, security, or compliance with applicable laws and regulations. Any disputes, claims, or issues arising from your use of Pay Zero must be directed to Sidglo.

11.3. Separate Agreement. By using Pay Zero, you acknowledge and agree that you are entering into a separate contractual relationship with Sidglo and that Thrive has no obligation or liability with respect to that relationship. You are responsible for reviewing and accepting Sidglo's terms before using the Pay Zero service.

12. User Content and Submissions

12.1. User Content. "User Content" means any content that you submit, post, upload, or otherwise make available through the Platform, including but not limited to text, images, videos, comments, reviews, deal submissions, banner advertisements, EBS listings, and forum posts.

12.2. License Grant. By submitting User Content to the Platform, you grant Thrive a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, modify, adapt, publish, translate, distribute, display, and create derivative works from your User Content in connection with operating, promoting, and improving the Platform. This license survives termination of your account.

12.3. Representations. You represent and warrant that: (a) you own or have the necessary rights, licenses, and permissions to submit your User Content; (b) your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, or other rights; (c) your User Content is accurate and not misleading; and (d) your User Content complies with these Terms and all applicable laws.

12.4. Content Review. Thrive reserves the right, but is not obligated, to review, screen, edit, or remove any User Content at its sole discretion. Thrive does not endorse any User Content and expressly disclaims any liability in connection with User Content.

12.5. Responsibility. You are solely responsible for your User Content and the consequences of submitting and publishing it on the Platform. Thrive assumes no liability for any User Content submitted by you or any third party.

13. Intellectual Property

13.1. Intellectual Property. The Platform, including all software, design, text, graphics, logos, icons, images, audio clips, video clips, data compilations, code, and the selection and arrangement thereof (collectively, "IP"), is the exclusive property of its licensors and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

13.2. Trademarks. "Thrive EBS," "Thrive Deals Marketplace," "The Business of You,” "Thrive Points," the Thrive logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Thrive or its affiliates. You may not use such marks without the prior written permission of Thrive.

13.3. Limited License. Subject to your compliance with these Terms, Thrive grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal or internal business purposes. This license does not include the right to: (a) modify, copy, or create derivative works of the Platform or Thrive IP; (b) reverse engineer, decompile, or disassemble any aspect of the Platform; (c) remove any copyright, trademark, or other proprietary notices; (d) use the Platform for any commercial purpose not contemplated by these Terms; or (e) access the Platform to build a competitive product or service.

14. Prohibited Conduct

14.1. You agree not to, and will not assist, encourage, or enable others to:

(a) Violate any applicable local, state, national, or international law or regulation.

(b) Use the Platform for any illegal, fraudulent, or unauthorized purpose.

(c) Create multiple accounts, fake accounts, or accounts using another person's identity or information without their authorization.

(d) Manipulate, exploit, or abuse the Thrive Points system, referral program, gamification features, or any other Platform mechanism.

(e) Submit false, inaccurate, misleading, or deceptive content, deal listings, or other information.

(f) Harass, threaten, intimidate, stalk, or otherwise engage in abusive behavior toward other Users, Partners, or Thrive personnel.

(g) Upload, transmit, or distribute any viruses, malware, worms, Trojan horses, or other harmful or destructive code.

(h) Attempt to gain unauthorized access to the Platform, other Users' accounts, or any systems, servers, or networks connected to the Platform.

(i) Use any automated means, including bots, crawlers, scrapers, or spiders, to access the Platform, collect data, or interfere with the Platform's operation, except as expressly permitted by Thrive.

(j) Interfere with, disrupt, or impose an unreasonable or disproportionately large load on the Platform's infrastructure.

(k) Circumvent, disable, or otherwise interfere with any security-related features of the Platform.

(l) Use the Platform to send unsolicited commercial messages (spam) or to engage in any form of network abuse.

(m) Resell, redistribute, or commercially exploit access to the Platform or any content available on the Platform without Thrive's express written consent.

(n) Impersonate any person or entity or misrepresent your affiliation with any person or entity.

(o) Use Thrive's name, trademarks, or branding in any manner that implies endorsement or affiliation without prior written consent.

15. Disclaimers and Limitation of Liability

15.1. Disclaimer of Warranties. THE PLATFORM AND ALL CONTENT, FEATURES, SERVICES, DEALS, AND MATERIALS AVAILABLE THROUGH THE PLATFORM ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THRIVE DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

15.2. No Guarantee. THRIVE DOES NOT WARRANT THAT: (A) THE PLATFORM WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM THE USE OF THE PLATFORM WILL BE ACCURATE OR RELIABLE; (C) ANY DEALS, CONTENT, OR SERVICES AVAILABLE THROUGH THE PLATFORM WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; OR (D) ANY ERRORS IN THE PLATFORM WILL BE CORRECTED.

15.3. Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THRIVE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, PARTNERS, LICENSORS, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE PLATFORM; (B) ANY DEALS, PRODUCTS, OR SERVICES OBTAINED THROUGH THE PLATFORM; (C) ANY CONTENT POSTED OR MADE AVAILABLE THROUGH THE PLATFORM; (D) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; OR (E) ANY OTHER MATTER RELATING TO THE PLATFORM, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), EVEN IF THRIVE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.4. Aggregate Liability Cap. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THRIVE'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO THRIVE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED DOLLARS ($100.00).

15.5. Essential Basis. YOU ACKNOWLEDGE AND AGREE THAT THE DISCLAIMERS AND LIMITATIONS SET FORTH IN THIS SECTION REFLECT A REASONABLE AND FAIR ALLOCATION OF RISK AND ARE AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN YOU AND THRIVE. THRIVE WOULD NOT BE ABLE TO PROVIDE THE PLATFORM ON AN ECONOMICALLY REASONABLE BASIS WITHOUT THESE LIMITATIONS.

16. Indemnification

16.1. You agree to indemnify, defend, and hold harmless Thrive, its officers, directors, employees, agents, affiliates, successors, and assigns from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees) arising from or in connection with: (a) your use of or access to the Platform; (b) your violation of these Terms; (c) your User Content; (d) your violation of any third-party right, including any intellectual property, privacy, or proprietary right; (e) your violation of any applicable law, rule, or regulation; or (f) any claim that your User Content caused damage to a third party.

16.2. Thrive reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without the prior written consent of Thrive.

17. Dispute Resolution

17.1. Informal Resolution. Before initiating any formal dispute resolution proceeding, you agree to first contact Thrive at info@explorethrive.com and attempt to resolve the dispute informally for a period of at least thirty (30) days. Most disputes can be resolved informally, and we encourage you to reach out before pursuing formal remedies.

17.2. Binding Arbitration. If the parties are unable to resolve a dispute informally, any dispute, controversy, or claim arising out of or relating to these Terms, the Platform, or your relationship with Thrive shall be resolved exclusively through binding arbitration administered in Cheyenne, Wyoming, in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall be conducted by a single arbitrator selected in accordance with the AAA rules.

17.3. Waiver of Jury Trial. BY AGREEING TO ARBITRATION, YOU AND THRIVE EACH WAIVE THE RIGHT TO A TRIAL BY JURY. YOU ALSO WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION, OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND.

17.4. Class Action Waiver. ALL DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS. NEITHER YOU NOR THRIVE SHALL BE ENTITLED TO JOIN OR CONSOLIDATE CLAIMS IN ARBITRATION BY OR AGAINST OTHER USERS OR ARBITRATE ANY CLAIM AS A REPRESENTATIVE OR MEMBER OF A CLASS.

17.5. Exceptions. Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.

17.6. Costs. Each party shall bear its own costs and attorneys' fees in connection with arbitration, unless the arbitrator determines that the claims were frivolous or brought in bad faith, in which case the arbitrator may award reasonable attorneys' fees and costs to the prevailing party.

17.7. Statute of Limitations. Any claim arising out of or related to these Terms or the Platform must be filed within one (1) year after the cause of action accrues. Any claim filed after this period is permanently barred.

18. Termination

18.1. Termination by You. You may terminate your account at any time by canceling your subscription (if applicable) and submitting an account deletion request through your account settings or by contacting us at info@explorethrive.com.

18.2. Termination by Thrive. Thrive may suspend or terminate your account and access to the Platform, in whole or in part, at any time, with or without cause, and with or without notice, including but not limited to circumstances in which: (a) you breach any provision of these Terms; (b) your conduct could harm Thrive, other Users, or third parties; (c) your account has been inactive for an extended period; or (d) Thrive decides to discontinue the Platform or any portion thereof.

18.3. Effect of Termination. Upon termination of your account: (a) all rights and licenses granted to you under these Terms will immediately cease; (b) you must immediately discontinue all use of the Platform; (c) any outstanding subscription fees owed will become immediately due and payable; (d) accumulated Thrive Points will be forfeited without compensation; (e) Partner status, if applicable, will be revoked; and (f) pending Ambassador Commissions may be forfeited if termination is for cause.

18.4. Survival. The following sections shall survive termination of these Terms: Section 6 (Thrive Points, to the extent applicable), Section 12 (User Content and Submissions), Section 13 (Intellectual Property), Section 15 (Disclaimers and Limitation of Liability), Section 16 (Indemnification), Section 17 (Dispute Resolution), Section 18 (Termination, to the extent applicable), and Section 20 (Governing Law).

18.5. Data Retention. Upon termination, Thrive may retain your account data and User Content in accordance with our Privacy Policy and applicable law. Thrive is not obligated to maintain or provide copies of your data following termination, unless required by applicable law.

19. Changes to Terms

19.1. Thrive reserves the right to modify, amend, or update these Terms at any time at its sole discretion. When we make material changes, we will update the "Last Updated" date at the top of these Terms and may notify you through the Platform, by email, or by other reasonable means.

19.2. Material changes to these Terms will become effective thirty (30) days after posting or such other date as specified in the notice. Non-material changes may take effect immediately upon posting.

19.3. Your continued use of the Platform after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and terminate your account.

19.4. It is your responsibility to review these Terms periodically for changes. We encourage you to check this page regularly.

20. Governing Law

20.1. These Terms and any dispute or claim arising out of or in connection with them, their subject matter, or their formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions.

20.2. To the extent that any legal proceeding is permitted outside of arbitration under these Terms, you agree to submit to the exclusive personal jurisdiction of the state and federal courts located in Laramie County, Wyoming, and you waive any objection to jurisdiction, venue, or inconvenient forum in such courts.

21. General Provisions

21.1. Entire Agreement. These Terms, together with the Privacy Policy and any other policies or guidelines referenced herein, constitute the entire agreement between you and Thrive regarding your use of the Platform and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

21.2. Severability. If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity of any provision shall not affect the validity or enforceability of the remaining provisions.

21.3. Waiver. The failure of Thrive to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by Thrive.

21.4. Assignment. You may not assign or transfer these Terms or your rights or obligations hereunder, in whole or in part, without the prior written consent of Thrive. Thrive may assign or transfer these Terms, in whole or in part, without restriction and without notice to you.

21.5. Force Majeure. Thrive shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from circumstances beyond Thrive's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, epidemics, pandemics, strikes, or failures of third-party services or infrastructure.

21.6. Notices. Notices to you may be made via email to the address associated with your account or by posting on the Platform. Notices to Thrive must be sent to info@explorethrive.com or by mail to: Thrive EBS, 1001 New Street, NW, Cheyenne, Wyoming 82001.

21.7. No Third-Party Beneficiaries. These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

21.8. Headings. The section headings in these Terms are for convenience only and have no legal or contractual effect.

21.9. Electronic Communications. By using the Platform, you consent to receiving electronic communications from Thrive. You agree that all agreements, notices, disclosures, and other communications that Thrive provides electronically satisfy any legal requirement that such communications be in writing.
